Welcome to the Terms of Service for Setup Concierge (“Company”, “we”, “our”, “us”), a product of Justice For All Foundation LLC. By accessing our website setupconcierge.com (the “Site”), purchasing our services, or downloading our digital content, you agree to be bound by these Terms of Service (“Terms”).

If you do not agree with all of these Terms, you are expressly prohibited from using the Site and must discontinue use immediately.

IMPORTANT NOTICE: Setup Concierge is a document filing and business consulting service. We are NOT a law firm, and we are NOT attorneys.

A. No Legal Advice

We provide general information, educational resources, and document filing services based on your specific direction.

• No Attorney-Client Privilege: Your use of our Site, forms, or services does not create an attorney-client relationship between you and the Company.
• User Responsibility: You are solely responsible for ensuring that your business structure, estate plan, or trust setup complies with the laws of your specific jurisdiction. If you require legal advice regarding complex taxation, liability protection, or estate law, you must consult a licensed attorney.

B. Estate & Trust Services

For services such as the “Estate Plan – Full-Service Trust Filing” or “Trust Setup Essentials”, you acknowledge that:

1. We are acting solely as a document preparer.
2. We do not review your answers for legal sufficiency, draw legal conclusions, or provide tax advice.
3. You are responsible for the final review and execution (signing/notarizing) of your documents.

3. FEES AND PAYMENTS

A. Fee Structure

Our pricing is transparent and consists of two parts:

1. Service Fees: The amount you pay to Setup Concierge for our time, expertise, and software use.
2. Government/State Fees: Mandatory fees paid directly to the Secretary of State or relevant government body to file your documents.

B. Variable State Fees

State filing fees listed on our Site are estimates based on standard jurisdictions. Actual fees may vary based on your specific state, expedite options, or county requirements. If the actual government fee exceeds the estimated amount collected, you agree to pay the difference before your filing is submitted.

4. REFUND POLICY

We strive for satisfaction, but due to the nature of our work, specific refund rules apply:

A. State & Government Fees (Non-Refundable)

State filing fees are 100% NON-REFUNDABLE. Once we have submitted your payment to a government agency, we cannot recover those funds. Therefore, we cannot return them to you under any circumstances.

B. Digital Products (All Sales Final)

All sales of downloadable content (e.g., “Free Biz Checklist”, templates, guides) are final. No refunds will be issued once the download link or access has been provided.

C. Service Fee Refunds

• Before Work Begins: If you cancel your order before we have reviewed your data or drafted documents, you are eligible for a full refund of our Service Fee.
• After Work Begins: If we have already drafted documents, performed a name availability check, or provided consulting time, our Service Fee is non-refundable, even if the filing has not yet been submitted.

5. INTELLECTUAL PROPERTY RIGHTS

A. Our Content

Unless otherwise indicated, the Site, source code, functionality, software, website designs, audio, video, text, and graphics (collectively, the “Content”) are owned or controlled by us and are protected by copyright and trademark laws.

B. License to Use

We grant you a limited, non-exclusive, non-transferable license to use our document templates and forms for your personal or internal business use only. You are strictly prohibited from reselling, redistributing, or publishing our templates for commercial gain without our express written permission.

C. Client Ownership

For Branding & Web Design services: Upon full payment of all invoices, ownership of final designs and website code transfers to you (the Client). We retain the right to display the work in our portfolio.

6. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Justice For All Foundation LLC shall not be liable to you for any indirect, consequential, exemplary, incidental, or punitive damages, including lost profits, even if we have been advised of the possibility of such damages.

Our total liability to you for any cause whatsoever will at all times be limited to the amount paid, if any, by you to us for the specific service in dispute.

7. GOVERNING LAW

These Terms shall be governed by and defined following the laws of the State of Wyoming. Any dispute related to these terms shall be resolved in the state or federal courts located in Wyoming.
